The media has coined the phrase
“trolls” to reference non-practicing entities (“NPE’s”) which nonetheless
protect their intellectual property rights in patents (or copyrights) by
litigating against alleged infringers. From the perspective of the alleged
infringer, it may seem as if these suits come out of nowhere as there may not be
a commercial competitor practice to hint at possible infringement claims.
The alleged infringer will need to assess when to engage, when to ignore, when
to settle, when to react aggressively, and how to distinguish between a "troll"
and a NPE competitor. Conversely, from the perspective of the NPE, they
are still patent holders with a legal right to protect their patent
portfolio. Some NPE’s elect to separate the licensing (i.e. practicing)
component of their portfolio into a licensing entity and the right to enforce
the patent rights into another entity as means to control risk during the
litigation process. Does this business model make the NPE a “troll” hiding
in wait to lure unsuspecting companies into litigation, or simply a sharp
